Dirikan Perusahaan di Filipina, Kalbe (KLBF) Patungan dengan Ecossential Foods

JAKARTA, investor.id – PT Kalbe Farma Tbk (KLBF) melalu anak usahanya, PT Kalbe International Pte Ltd (KI), membentuk perusahaan patungan (joint venture/JV) bersama Ecossential Foods Corp (EFC) bernama Kalbe Ecossential International (KEI). Pembentukan perusahaan patungan tersebut dilakukan pada 25 Agustus 2022.

“Kalbe Ecossential International yang berkedudukan di Filipina merupakan sebuah perusahaan yang bergerak dalam bidang penjualan dan distribusi produk dan jasa kesehatan,” kata Corporate Secretary Kalbe Farma Lukito Kurniawan Gozali dalam keterangan resmi, Senin (5/9/2022).

Lukito menjelaskan, KEI didirikan dengan modal dasar sebesar 130 juta peso Filipina atau setara Rp 34,07 miliar. “Dari modal dasar tersebut, telah ditempatkan dan disetor penuh sejumlah 30 juta Peso Filipina, dengan masing-masing bagian kepemilikan saham KEI adalah KI sejumlah 18 juta Peso Filipina (60%) dan EFC sebanyak 12 juta Peso Filipina (40%),” ujar Lukito. Dia pun menyebut, pendirikan KEI bertujuan untuk menunjang kegiatan usaha perseroan.

Belum lama ini, emiten berkode saham KLBF tersebut juga mengumumkan pembelian 80% saham PT Aventis Pharma dari Sanofi Aventis Participations dan Hoechst GMBH. Akuisisi tersebut ditandai dengan penandatangangan perjanjian jual beli saham (Share Purchase Agreement/SPA) pada 22 Juli 2022 antara Sanofi Aventis Participations dan Hoechst GMBH sebagai penjual, serta KLBF sebagai pembeli.

Dalam SPA tersebut diputuskan bahwa KLBF akan memiliki 80% saham Aventis Pharma, termasuk fasilitas produksi yang berlokasi di Jakarta, aset dan hak distribusi, serta pemasaran obat resep dan vaksin Sanofi di Indonesia. Pengalihan kepemilikan di Aventis Pharma ini akan efektif pada kuartal IV-2022.
