Akuisisi, Pratama Abadi (PANI) Kantongi Restu Right Issue 13,12 Miliar Lembar

EmitenNews.com – PT Pratama Abadi Nusa Industri (PANI) mengantongi restu right issue maksimal 13.120.000.000 atau 13,12 miliar lembar. Saham baru setara 96,97 persen itu, dibekali nilai nominal Rp100 per lembar dari portepel.

Menyusul right issue itu, Pratama Abadi berencana meningkatkan modal dasar, modal disetor, dan modal ditempatkan. Di mana, akan mengubah Pasal 4 Anggaran Dasar (AD) perseroan. Peningkatan modal ditempatkan, dan modal disetor tetap memperhatikan ketentuan keputusan Badan Pengawas Pasar Modal dan Lembaga Keuangan No. KEP-179/BL/2008 atas peraturan No. IX.J.1.

Dana hasil right issue untuk berinvestasi, dan mengembangkan bisnis melalui pengambilalihan saham baru 51 persen keluaran Bangun Kosambi Sukses (BKS) atau 104.082 saham senilai Rp6,49 triliun, perusahaan terafiliasi bidang usaha real estate. 

Selanjutnya, BKS akan berinvestasi, dan mengembangkan bisnis dengan mengakuisisi 51 persen saham baru terbitan perusahaan terafiliasi bidang usaha real estate yaitu PT Mega Andalan Sukses (MAS) senilai Rp4,69 triliun, dan PT Cahaya Gemilang Indah Cemerlang (CGIC) sejumlah Rp1,79 triliun, dan terakhir untuk modal kerja Pratama Abadi. 

Tujuan right issue untuk berinvestasi, dan mengembangkan bisnis perusahaan real estate. Dengan begitu, Pratama Abadi akan mendapat sumber pendapatan lain untuk mendukung pertumbuhan pendapatan, profitabilitas, dan prospek usaha ke depan, memberi manfaat, nilai tambah, bagi pemegang saham, dan pemangku kepentingan. 

Pengaruh right issue terhadap pemegang saham yang tidak melaksanakan hak untuk melakukan pembelian saham baru sesuai HMETD akan mengalami penurunan persentase kepemilikan saham (dilusi) maksimum 96,97 persen. (*)
