Bank Rakyat Indonesia (BBRI) Godok Buyback Maksimal Rp1,5 Triliun

EmitenNews.com – Bank Rakyat Indonesia (BBRI) bakal menggeber buyback maksimal Rp1,5 triliun. Periode buyback antara 14 Maret 2023 hinca 14 September 2024. Itu setelah buyback mendapat restu investor dalam rapat umum pemegang saham tahunan pada 13 Maret 2023. 

Buyback dilaksanakan untuk program kepemilikan saham. Program itu, untuk mendorong engagement terhadap keberlanjutan peningkatan kinerja secara jangka panjang. Oleh karena itu, pada 2023 perseroan melaksanakan kembali buyback dengan berpedoman pada POJK 30/2017.

Perkiraan nilai buyback belum termasuk biaya (komisi perantara pedagang efek dan biaya lainnya) diperkirakan maksimal 0,32 persen dari perkiraan nilai buyback apabila dilaksanakan secara keseluruhan. Sumber dana buyback dari kas internal. 

Pelaksanaan buyback 2023, dan jumlah keseluruhan treasury stock milik perseroan tidak akan melebihi 10 persen dari jumlah modal ditempatkan dalam perseroan sesuai ketentuan, dan peraturan perundang-undangan berlaku. Buyback dengan kas internal, aset dan ekuitas akan menurun sejumlah nilai buyback, dan biaya buyback.

Pelaksanaan buyback 2023 diprediksi tidak menyebabkan kekayaan bersih menjadi lebih kecil dari jumlah modal ditempatkan ditambah cadangan wajib telah disisihkan, termasuk dari sisi pendapatan maupun biaya operasional. Saham hasil buyback 2023 akan digunakan untuk program kepemilikan saham. Alokasi saham hasil buyback 2023 akan dirancang bertahap, sesuai perkiraan jadwal dan rencana pelaksanaan program kepemilikan saham. 

Program kepemilikan saham pekerja dialokasikan dalam bentuk Employee Stock Allocation dan/atau Employee Stock Option Program. Program kepemilikan saham itu, diberikan kepada pekerja dengan kriteria tertentu. Misalnya, pencapaian maupun pelampauan target kinerja, dan prestasi lain berdampak terhadap peningkatan value Perseroan. Alokasi program kepemilikan saham pekerja akan  didasarkan pada pencapaian kinerja individu, dan perseroan. (*)
