Bumi Resources (BUMI) Private Placement Rp24 Triliun, Kendali Bakrie Group Makin Kuat

EmitenNews.com – PT Bumi Resources (BUMI) akan menggeber private placement Rp24 triliun. Itu dilakukan dengan menerbitkan saham baru seri C maksimum 200 miliar lembar. Saham anyar itu, dibalut harga pelaksanaan Rp120 per helai. 

Kalau tidak aral melintang, hajatan private placement itu akan dilaunching pada 18 Oktober 2022. Itu setelah mendapat persetujuan pemodal dalam ajang rapat umum pemegang saham luar biasa pada Selasa, 11 Oktober 2022 pukul 10.00 WIB. Peserta berhak hadir dalam rapat itu, dengan nama tercatat pada 16 September 2022 pukul 16.00 WIB. 

Berdasar skenario, persentase kepemilikan investor lawas berpotensi terdilusi 58,8 persen setelah private placement. ”Tidak ada perubahan pengendali Bumi Resources, kelompok usaha Bakrie tetap menjadi pengendali utama perseroan,” tulis Direktur & Corporate Secretary Bumi Resources Dileep Srivastava.

Bumi Resources yakin pemegang saham akan menyetujui rencana penyelesaian kewajiban perseroan dengan skema private placement. Pasalnya, penuntasan utang kepada kreditur akan memperbaiki kondisi keuangan perseroan. Kondisi itu, akan tercermin pada penurunan kewajiban secara signifikan diikuti peningkatan profitabilitas akibat penurunan beban keuangan.

Dengan begitu, secara langsung akan meningkatkan valuasi ekuitas perseroan walau terdapat penurunan persentase kepemilikan atau dilusi akibat masuknya pemodal sebagai pemegang saham baru. Alternatif pelaksanaan private placement itu, restrukturisasi utang. Sejauh ini, berdasar pembicaraan, perseroan mungkin tidak dapat menyelesaikan restrukturisasi utang sebelum jatuh tempo utang PKPU.

Di mana, berdasar putusan homologasi, penyelesaian utang PKPU sangat penting untuk menghindari risiko terjadinya kebangkrutan. Sebelumnya, akan ada investor baru masuk melalui private placement, dan dana hasil private placement untuk melunasi sisa debt dari BUMI (tranche B dan C). (*)
