Dirikan Kargo Bersama Teknologi (KBT), Ini Rencana Strategis Adi Sarana Armada (ASSA)

EmitenNews.com – PT Adi Sarana Armada (ASSA) mendirikan anak usaha bertitel Kargo Bersama Teknologi (KBT). Entitas usaha anyar tersebut didirikan bersama Adi Sarana Investindo (ASI). Itu berdasar akta pendirian nomor 76 tertanggal 13 Juli 2022.

Menyusul Pendirian anak usaha itu, kedua belah pihak menyetor modal sesuai porsi masing-masing. Adi Sarana Armada menyetor modal sebesar Rp19,99 miliar. Selanjutnya, Adi Sarana Investindo sebagai entitas usaha menyertakan modal sejumlah Rp1 juta.

Dengan setor modal itu, modal dasar Kargo Bersama Teknologi Rp80 miliar alias 80 ribu lembar. Modal ditempatkan dan disetor Rp20 miliar setara 20 ribu lembar saham. Porsi Adi Sarana Armada 99,99 persen selevel 19.999 lembar, dan Adi Sarana Investindo 0,01 persen alias satu lembar. 

Transaksi itu masuk ranah afiliasi. Pasalnya, Adi Sarana Investindo merupakan anak usaha perseroan dengan porsi kepemilikan 99,99 persen. Selain itu, ada kesamaan anggota manajemen dalam struktur Adi Sarana Armada dan Adi Sarana Investindo. Misalnya, Tjoeng Suyanto menjabat direktur Adi Sarana Armada sekaligus direktur Adi Sarana Investindo.

Transaksi itu, dilatari dan dilandasi keinginan untuk pengembangan usaha sejalan usaha utama perseroan. Dengan suntikan modal dari dana internal itu, diharap usaha baru tersebut berkontribusi positif. ”Memberi nilai tambah bagi stakeholder perseroan,” tulis Jerry Fandy Tunjungan, Corporate Secretary Adi Sarana Armada.
