MNC Investama lepas 99,33% sahamnya di BRC kepada IATA

JAKARTA – PT MNC Investama Tbk (BHIT) melepas 99,33% kepemilikannya di PT Bhakti Coal Resources (BCR) kepada PT Indonesia Transport & Infrastructure Tbk (IATA) senilai Rp 2 triliun. Dua perusahaan ini memiliki hubungan afiliasi dengan nilai transaksi di bawah nilai pasar BCR sebesar Rp 2,59 triliun.

Dalam keterbukaan informasi dikutip Rabu (9/2), Santi Paramita, Sekretaris Perusahaan PT MNC Invetama Tbk (BHIT) menyampaikan pembayaran yang akan dilakukan IATA kepada perusahaan berupa penerbitan Surat Sanggup yang akan diserahkan bersamaan dengan penandatangana Perjanjian Pengikat Jual Beli (PPJB) senilai US$ 140 juta atau setara Rp 2 triliun dengan kurs Rp 14.307 per US$ 1. “Surat Sanggup yang diterbitkan IATA berjangka 6 bulan sejak Desember 2021 dengan suku bunga yang disepakati semua pihak,” katanya.

Transaksi tersebut memiliki hubungan afiliasi karena Henry Suparman, Direktur MNC Investama merangkap jabatan Direktur Utama IATA. Karena nilai transaksi tersebut di bawah nilai pasar BCR per September 2021, maka manajemen MNC Investama berencana mengambil keputusan dalam Rapat Umum Pemegang Saham Luar Biasa (RUPSLB) pada Kamis (10/2).

Seperti diketahui IATA menjadi holding dari sejumlah perusahaan MNC Group yang bergerak di bidang energi dan infrastruktur. BCR merupakan induk usaha dari 9 perusahan pemegang Ijin Usaha Pertambangan (IUP) di Musi Banyuasing, Sumatera Selatan. (LK)
