Pemodal Besar Mau Masuk Bumi Resources (BUMI), Diberi Harga Rp 120 per Saham, kok Bisa?

JAKARTA, investor.id – PT Bumi Resources Tbk (BUMI) berencana menggelar rapat umum pemegang saham luar biasa (RUPSLB) pada 11 Oktober 2022.

Adapun mata acara RUPSLB adalah persetujuan atas rencana pelaksanaan/penambahan modal tanpa memberikan hak memesan efek terlebih dahulu (non-HMETD) atau private placement dalam rangka perbaikan posisi keuangan.

“Perseroan berencana untuk melakukan penambahan modal tanpa HMETD untuk memperbaiki posisi keuangan perseroan, dengan menerbitkan sebanyak-banyaknya 200.000.000.000 saham,” jelas direksi perseroan dalam keterbukaan informasi dikutip Rabu (21/9/2022).

Sebelumnya, Bumi Resources mengumumkan rencana untuk melakukan penerbitan sebanyak-banyaknya 200 miliar saham biasa seri C tanpa hak memesan efek terlebih dahulu (non-HMETD) atau private placement.

Dalam keterbukaan informasi perseroan, Jumat (2/9/2022), dijelaskan bahwa perseroan telah menetapkan bahwa harga pelaksanaan adalah Rp 120 per saham sehingga nilai dari private placement ini sebesar Rp 24 triliun atau setara dengan sebesar-besarnya US$ 1,6 miliar pada kurs tukar Rp 15.000/USD yang telah disepakati antara perseroan dan pemodal.

Manajemen perseroan menjelaskan bahwa penetapan harga pelaksanaan ditentukan berdasarkan kesepakatan para pihak, dilaksanakan dengan wajar (arm’s length transaction), tidak melanggar undang-undang yang berlaku, dan dilaksanakan dengan tidak merugikan pemegang saham bukan pengendali dan bukan pemegang saham utama.

Manajemen perseroan mengungkapkan pemodal dalam private placement ini memiliki hubungan afiliasi dengan perseroan karena pemodal merupakan pihak terafiliasi dari pemegang saham pengendali perseroan.

Adapun pada perdagangan Selasa (20/9/2022), BUMI ditutup di Rp 168 atau sama dengan penutupan pasar sehari sebelumnya. Dalam satu bulan terakhir, saham BUMI melesat 21,74%. Sedangkan, dalam tiga bulan terakhir BUMI terbang 140%.
