Sah! Diamond Food Indonesia (DMND) Caplok 100 Persen Saham Fit Indonesia Tama

EmitenNews.com – PT Diamond Food Indonesia (DMND) telah menuntaskan akuisisi PT Fit Indonesia Tama (FIT). Pengambilalihan itu, dilakukan melalui anak usaha perseroan yaitu PT Sukanda Djaya. Caranya, Sukanda Djaya menyapu 82.170 saham FIT.

Akuisisi telah dituntaskan pada 16 September 2022. Itu menyusul seluruh persyaratan berdasar Conditional Share Purchase Agreement (CSPA) telah terpenuhi. Dan, kondisi dibakukan dihadapan notaris Jimmy Tanal. 

Sukanda Djaya sebagai pembeli, telah menyerok 82.170 lembar atau 99 persen saham FIT yang ditempatkan, dan disetor penuh. ”Transaksi berdasar perjanjian jual beli bersyarat pada 29 Agustus 2022,” tulis Remanja Dyah Intansari, Corporate Secretary Diamond Food Indonesia. 

Transaksi bukan masuk material, dan afiliasi sebagaimana digariskan POJK nomor 17/POJK.04/2020 tentang transaksi material, dan perubahan kegiatan usaha, dan POJK nomor 42/POJK.04/2020 tentang transaksi afiliasi, dan benturan kepentingan. 

Manajemen Diamond Food Indonesia mengklaim transaksi tidak berdampak material terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha emiten sebagai perusahaan terbuka. (*)
