Serahkan Rp2,759 Triliun, Bank Mandiri (BMRI) Ambil Seluruh Hak di Rights Issue BRIS

EmitenNews.com—PT Bank Mandiri Tbk (BMRI) telah menambah penyertaan modal kepada PT Bank Syariah Indonesia Tbk/BSI (BRIS) sebesar Rp2,759 triliun, dalam rangka pelaksanaan hak atas rights issue yang dilakukan BSI.

Hal tersebut disampaikan manajemen BMRI kepada otoritas Bursa dan sebagai keterbukaan informasi telah dirilis di situs BEI, Selasa (20/12). Ditegaskan, penambahan modal dilakukan pada 19 Desember 2022.

“Penambahan penyertaan modal Perseroan ke BSI diharapkan dapat mendukung kegiatan bisnis dan operasional BSI sebagai bagian dari Mandiri Group yang bergerak di bidang keuangan syariah,” ungkap manajemen BMRI dalam rilisnya itu.

Sebagaimana diketahui, BRIS melakukan penambahan modal dengan hak memesan efek terlebih dahulu (PMHMETD) atau rights issue pada akhir tahun ini. Perseroan menerbitkan sebanyak-banyaknya 4,99 miliar saham seri B dengan harga pelaksanaan Rp 1.000 per saham.

Mengutip prospektus perseroan, rights issue mulai efektif diperdagangkan di Bursa Efek Indonesia 19 Desember – 23 Desember 2022. Dengan harga pelaksanaa tersebut, perseroan akan mendapatkan dana segar senilai Rp 4,99 triliun.

Dalam aksi korporasi ini, BMRI yang menjadi pemegang saham mayoritas dengan kepemilikan 50,83% atau 20,9 miliar lembar saham BRIS melaksanakan seluruh hak HMETD miliknya.

Manajemen bank Mandiri menyebut, perseroan akan melaksanakan seluruh HMETD yang berjumlah 2,54 miliar lembar HMETD dalam PMHMETD I.

Sedangkan PT Bank Negara Indonesia (Persero) Tbk (BBNI) akan menyerap sebagian dari hak HMETD yang diberikan yakni sebesar 500 juta lembar HMETD dari total 1,24 miliar HMETD. Sementara sisa HMETD yang tidak diserap oleh BBNI akan dialihkan kepada PT CIMB Niaga Sekuritas (CIMBS).
