Soal Penyewaan 6.000 Menara, Ini Penjelasan Mitratel (MTEL)

EmitenNews.com – PT Dayamitra Telekomunikasi alias Mitratel (MTEL) menyewakan 6.000 menara senilai Rp6,54 triliun. Durasi penyewaan sepanjang 10 tahun mendatang. Itu berlaku sejak 29 Juli 2022.

Ribuan menara tersebut disewakan kepada PT Telekomunikasi Selular (Telkomsel). Penetapan nilai transaksi tersebut berdasar arm’s length principle alias prinsip kewajaran dan kelaziman. Di mana, pengambilan keputusan direksi berdasar anggaran dasar perseroan.

Selanjutnya, mengenai permintaan pembangunan 1.000 menara berlaku hingga 31 Maret 2026. Telkomsel wajib mendistribusikan pesanan sewa untuk menara built to suit (BTS) selama periode pesanan sebagai berikut. Periode 31 Desember 2023 hingga selambatnya 30 Juni 2023. Periode 31 Desember 2024 hingga selambatnya 30 Juni 2024, dan periode 31 Desember 2025 hingga selambatnya 30 Juni 2025.

Apabila pesanan meleset dari target 1.000 menara, Mitratel tidak akan dikenakan nilai kompensasi. Namun, apabila hingga 31 Maret 2026, target pesanan Telkomsel tidak mencapai 1.000 menara, Telkomsel wajib memberi kompensasi uang setiap bulan. Itu mulai sejak 31 Desember 2025 kepada perseroan. 

Sejumlah risiko mungkin menghambat dalam memenuhi target waktu adalah kemampuan daya bangun menara perseroan untuk memenuhi jumlah BTS sesuai kesepakatan. ”Oleh karena itu, perseroan akan berusaha maksimal memenuhi order BTS sesuai service level agreement pembangunan paling lambat 120 hari sejak permintaan order BTS sesuai jadwal,” tulis manajemen Mitratel.
